1. WHO WE ARE AND HOW TO CONTACT US
1.1 https://www.marinelinkfleet.com/ is a website operated by Austal Limited ("We", "our", "us"). We are a public company listed on the Australian Securities Exchange, registered in Australia with Australian Business Number ABN 73 009 250 266. Our address is 100 CLARENCE BEACH ROAD, 6166 HENDERSON, Australia.
2. BACKGROUND INFORMATION AND DEFINITIONS
2.1 The Site is accessible to members of the public, each a "User". The Site provides information about, and access to, the MarineLink Services.
2.2 Through a restricted section of the Site, we provide the MarineLink Services under licence to organisations, each a "Subscriber".
2.3 If you sign up for a free trial to see whether you would like your organisation to be a Subscriber, we will provide you with log in details to the MarineLink Services and you will be a "Trial User" for one calendar month or as otherwise agreed with us.
2.4 We or a Subscriber may invite you to access the MarineLink Services in accordance with a "Subscription Plan Agreement" with the Subscriber. Users nominated by a Subscriber for access to the MarineLink Services (each a "Registered User") are provided with account log details and passwords to use the MarineLink Services. Use of the MarineLink Services by Registered Users is on the condition that the Subscriber remains responsible for the use and actions of such Registered Users relating to the MarineLink Services.
2.5 The MarineLink Services provide Subscribers and their Registered Users information about Subscribers' vessel fleet data, including vessel locations, weather conditions, route scheduling and other related information, as further detailed in the applicable Subscription Plan Agreement.
3. BY USING THIS SITE AND/OR THE MARINELINK SERVICES YOU ACCEPT THESE TERMS
3.1 By using our Site, and/or the MarineLink Services, you confirm that you accept these Terms and that you agree to comply with them.
3.2 If you do not agree to these Terms, or any part of these Terms, you may not access or use our Site or use the MarineLink Services. We recommend that you print a copy of these Terms for future reference.
4. THERE ARE OTHER TERMS THAT MAY APPLY TO YOU
4.1 The following documents also apply:
4.1.2 The applicable Subscription Plan Agreement between the Subscriber and Austal Limited.
5. WE MAY MAKE CHANGES TO THESE TERMS
5.1 We amend these Terms from time to time.
5.2 Every time you wish to use our Site and/or the MarineLink Services, it is your responsibility to read these Terms carefully to ensure you understand the terms that apply at that time.
5.3 These Terms were most recently updated on 4 October 2019.
6. WE MAY MAKE CHANGES TO OUR SITE AND/OR OUR MARINELINK SERVICES
6.1 We may update and change our Site from time to time to reflect changes to our services, our Users' needs and our business priorities.
6.2 Notwithstanding 6.1 above, we will not change our MarineLink Services in a way which breaches the terms of a relevant Subscription Plan Agreement.
7. WE MAY SUSPEND OR WITHDRAW OUR SITE
7.1 Our Site is made available free of charge. We do not guarantee that our Site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Site for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.
8. ACCESS TO THE MARINELINK SERVICES
8.1 We do not guarantee that our MarineLink Services, or any content delivered through the MarineLink Services, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of the MarineLink Services for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.
9. USE OF THE MARINELINK SERVICES
9.1 Trial Users are able to access the MarineLink Services through restricted areas of our Site for one calendar month from the date that a Trial User's account is activated, or as otherwise agreed with us in writing.
9.2 Registered Users are able to access the MarineLink Services through restricted areas of our Site, in accordance with the relevant Subscriber's Subscription Plan Agreement.
9.3 During the registration process, Trial Users and Registered Users are provided with unique access details to the MarineLink Services portal. You must keep secure and confidential your account identification details, password, and/or any other piece of information required as part of our security procedures. You must not disclose it to any third party.
9.4 We reserve the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if at our sole discretion you have failed to comply with any of the provisions of these Terms.
9.6 You are responsible for any activity on our Site and/or MarineLink Services portal arising out of any failure to keep your password confidential and may be held liable for any losses arising out of such a failure.
9.7 You must not use any other person's email address and password to access the MarineLink Services, unless you have that person's express permission to do so.
9.8 Where you provide us with name and contact details for the purpose of creating an account (either as a Trial User, Subscriber or as a Registered User) you warrant and represent that you have the authority to do so.
9.9 If you become aware that any materials published or otherwise made available through the MarineLink Services are not intended for the use of the Subscriber for whom you are a Registered User, you must immediately:
9.9.1 contact us and provide details of such materials;
9.9.2 cease viewing and/or using such material;
9.9.3 delete any copies which you have already downloaded; and
9.9.4 refrain from viewing and/or downloading such material.
10. LICENCE TO USE THE SITE (UNRESTRICTED SECTION)
10.1 Unless otherwise stated, we are the owner or the licensee of all intellectual property rights in our Site and in the material published on it. Those works are protected by copyright laws and treaties around the world. Subject to the licence below, all these intellectual property rights are reserved.
10.2 You may view, download for caching purposes only, and print pages, photos, news, data and all other information from the unrestricted sections of the Site for your personal use and you may draw the attention of others within your organisation to content posted on the unrestricted sections of the Site.
10.3 You must not:
10.3.1 modify the paper or digital copies of any materials you have printed off or downloaded in any way;
10.3.2 republish material from this Site (including republication on another website);
10.3.3 sell, rent or sub-license material from the Site without our prior express consent;
10.3.4 reproduce, duplicate, copy or otherwise exploit material on our Site for a commercial purpose;
10.3.5 redistribute material from this Site except for content specifically and expressly made available for redistribution;
10.4 Where content is specifically made available for redistribution, it may only be redistributed within your organisation.
10.5 The information on our Site is provided by our contributors or is taken from the world wide web and we are not liable for its accuracy or veracity.
10.6 If you print off, copy or download any part of our Site in breach of these Terms, your right to use our Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.
11. LICENCE TO USE THE MARINELINK SERVICES
11.1 For Trial Users enjoying a one month trial period to the MarineLink Services (as set out in email correspondence between us and you or otherwise agreed in writing), we grant you a non-exclusive licence to search and view the materials on the MarineLink Services for the term of your trial period (one calendar month from your account activation date, or as otherwise agreed with us in writing). We may monitor your usage of the MarineLink Services during the one month trial period.
11.2 Access by a Registered User to the MarineLink Services beyond the one month trial period shall be governed by the Licence provided to the Subscriber in the relevant Subscriber's Subscription Plan Agreement.
12. DO NOT RELY ON INFORMATION ON THE SITE OR THE MARINELINK SERVICES
12.1 You agree that you use the Site and/or the MarineLink Services at your own risk. The content on our Site and through our MarineLink Services is aggregated and provided for general information purposes only. It is not intended to amount to advice or other information on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our Site or the MarineLink Services.
12.2 Although we make reasonable efforts to update the information on our Site and the MarineLink Services, we make no representations, warranties or guarantees, whether express or implied, that the content on our Site and/or the MarineLink Services is accurate, complete or up to date.
12.3 We do not commit to ensuring that the Site and/or the MarineLink Services remain available or that the material on the Site and/or the MarineLink Services is kept up to date.
13. WE ARE NOT RESPONSIBLE FOR WEBSITES TO WHICH WE LINK
13.1 Where our Site and/or MarineLink Services contain links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.
13.2 We have no control over the contents of those sites or resources.
14. ACCEPTABLE USE
14.1 You may use our Site and the MarineLink Services only for lawful purposes.
14.2 You must not use our Site and/or the MarineLink Services:
14.2.1 in any way that causes, or may cause, damage to the Site or impairment of the availability or accessibility of the Site;
14.2.2 in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity;
14.2.3 to knowingly copy, store, host, transmit, send, use, publish or distribute any material which contains, consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, time-bomb, keystroke logger, adware, rootkit or any other malicious or harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;
14.2.4 to conduct any systematic or automated data collection activities (including, without limitation, scraping, data mining, data extraction and data harvesting) on or in relation to our Site without our express written consent; or
14.2.5 to transmit or send unsolicited commercial communications.
14.3 You also agree:
14.3.1 Not to reproduce, duplicate, copy or re-sell any part of our Site in contravention of the provisions of these Terms;
14.3.2 Not to access without authority, interfere with, damage or disrupt:
(a) any part of our Site;
(b) any equipment or network on which our Site is stored;
(c) any software used in the provision of our Site; or
(d) any equipment or network or software owned or used by any third party.
15. RULES ABOUT LINKING TO OUR SITE
15.1 You may link to the home page of our Site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
15.2 You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
15.3 You must not establish a link to our Site in any website that is not owned by you.
15.4 Our Site must not be framed on any other Site, nor may you create a link to any part of our Site other than the home page.
15.5 We reserve the right to withdraw linking permission without notice.
15.6 The website in which you are linking must comply in all respects with the content standards set out clause 14 (Acceptable Use).
16. HOW WE MAY USE YOUR PERSONAL INFORMATION
17. LIMITATIONS AND EXCLUSIONS OF LIABILITY
17.1 Nothing in these Terms will:
17.1.1 limit or exclude liability for death or personal injury resulting from negligence;
17.1.2 limit or exclude liability for fraud or fraudulent misrepresentation;
17.1.3 limit any liabilities in any way that is not permitted under applicable law; or
17.1.4 exclude any liabilities that may not be excluded under applicable law.
17.2 The limitations and exclusions of liability set out in this Clause 16 and elsewhere in these Terms:
17.2.1 are subject to clause 17.1; and
17.2.2 govern all liabilities arising under these Terms or in relation to the subject matter of these Terms, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty.
17.3 The material on the Site and provided through the MarineLink Services is provided "as is". To the maximum extent permitted by applicable law, we exclude all implied conditions, warranties, representations or other terms that may apply to our Site and/or the MarineLink Services, and any content on them.
17.4 To the extent that the Site and the information and services on the Site are provided free of charge, we shall not be liable for any loss or damage of any kind.
17.5 We shall not be liable to you in respect of:
17.5.1 any losses arising out of any event or events beyond our reasonable control;
17.5.2 any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities, goodwill or reputation, business interruption, or any indirect or consequential loss or damage.;
17.5.3 of any loss or corruption of any data, database or software; or
17.5.4 any special, indirect or consequential loss or damage.
18.1 You hereby indemnify us and undertake to keep us indemnified against any losses, damages, costs, liabilities and expenses (including, without limitation, legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute on the advice of our legal advisers) incurred or suffered by us arising out of any breach by you of any provision of these Terms, or arising out of any claim that you have breached any provision of these Terms.
19.1 Without prejudice to our other rights under these Terms, if you breach these Terms in any way, we may take such action as we deem appropriate to deal with the breach, including suspending your access to the Site and/or the MarineLink Services, prohibiting you from accessing the Site and/or the MarineLink Services, blocking computers using your IP address from accessing the Site and/or the MarineLink Services, contacting your internet service provider to request that they block your access to the Site and/or the MarineLink Services and/or bringing court proceedings against you.
20. WE MAY TRANSFER THIS AGREEMENT TO SOMEONE ELSE
21.1 If a provision of these Terms is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.
22. EXCLUSION OF THIRD PARTY RIGHTS
22.1 These Terms are for the benefit of you and us, and are not intended to benefit any third party or be enforceable by any third party, except for the Subscriber who nominated you if you are a Registered User. The exercise of our and your rights in relation to these Terms is not subject to the consent of any third party, except for the Subscriber who nominated you if you are a Registered User.
23. ENTIRE AGREEMENT
23.2 For Trial Users, additional terms including the length and start date of your trial period may be set out in correspondence with you or otherwise in writing between us.
